Trust Announces its Annual General Meeting

8:00 p.m. in the Vere Suite, Adams Park

In a letter dated 6th April 2009 and addressed to members of the Wycombe Wanderers Trust, a calling notice has been given for the Annual General Meeting to be held in the Vere Suite, Adams Park, Hillbottom Road, Sands, High Wycombe, Bucks HP12 4HJ on Thursday 30th April 2009 at 8:00 pm. (Doors and bar open from 7:30 p.m.).

The formal business of the meeting will include approving the minutes of the AGM of the Trust held on 7th February 2008, receiving the report of the directors and the audited statements for the period ended 31st July 2008, the appointment of Directors, and the appointment of the Auditors.

A copy of the minutes of the AGM held on 7th February 2008 was enclosed together with a copy of the report of the directors and the financial statements for the period ended 31st July 2008.

As detailed in an earlier communication, nominations for the Board of Directors of Wycombe Wanderers Trust were to be received by Thursday 27th March 2009. Since it is the first AGM since Wycombe Wanderers Founders Trust and Wycombe Wanderers Supporters Trust were unified via a Transfer of Engagements, the Board felt it appropriate that all members of the Board should retire and, if they so wish, offer themselves for election. In future years, it is anticipated that in accordance with the Trust's Articles of Association one third of the Board members will retire by rotation and, if they so wish, offer themselves for re-election. Individual members of the Supporters Trust's Board were co-opted as members of the Board of Wycombe Wanderers Trust on 14th July 2008 and must retire. All except for Mr. Ian Baker and Mr. Francis Glenister are offering themselves for election to the Trust's Board at the AGM. Mr. Baker and Mr. Glenister are stepping down from the Trust's Board for unrelated personal reasons. Mr. Nicholas Langford, a Life Member of the Trust, is offering himself for election to the Trust's Board.

Mr. David McGee offers himself for election to the position of the Trust's Supporters' Director on the Board of Wycombe Wanderers Football Club PLC. Mr. McGee was originally appointed to this position on an interim basis in January 2009, following the resignation of the Trust's previous Supporters' Director, Mr. Keith Blagbrough.

A minimum of 20 members needs to be present for the AGM to have a quorum and I hope as many members as possible will be able to attend in person. Members who are unable to do so are asked to complete and return the enclosed proxy form.

The Trust's Honorary President and two Vice Presidents, Karen Adams, Keith Ryan and Bill Turnbull are intending to attend the AGM. Following the formal business of the meeting, there will be an opportunity for a more informal question and answer session to address any matters that Members wish to raise with the Directors. Karen, Keith and Bill will participate in this discussion.
