Trust Board Statement on Wycombe Wanderers Football Club PLC Restructuring Proposals

To: All Shareholders of Wycombe Wanderers Football Club plc ("the Club")

Having given due consideration to the proposals contained in the letter to the Shareholders of the Club dated 18th June 2009 and the Wycombe Wanderers Trust Limited ("the Trust") having subsequently agreed certain assurances with Stephen Edward Hayes, the Board of the Trust can today recommend that the Shareholders of the Club (including Founder Shareholders) and members of the Trust should vote in favour of: (a) the proposals set out in that letter; and (b) the shareholders' resolutions proposed by the directors of the Club and to be voted on at the general meeting of the Shareholders to be held on 6th July 2009.
